Aseel Terms of Use

Welcome to Aseel. These Terms of Use ("Terms") govern your access to and use of the Aseel platform, including our mobile apps, website, and related services (collectively, the "Platform"). By accessing or using the Platform, you agree to these Terms. If you do not agree, please do not use our services.
1. Introduction, Acceptance, and Scope
1.1 Purpose and Legal Agreement
These Terms of Use ("Terms") form a binding agreement between you ("User," "you," or "your") and Aseel Technology Corporation ("Aseel," "we," "our," or "us"), a Delaware C-Corporation. These Terms govern your use of the Aseel Platform, which includes the website, mobile application, and related services (collectively, the "Platform").
By accessing or using the Platform, you agree to be bound by these Terms, as well as any additional policies referenced herein, including our Privacy Policy, our Seller/Vendor Terms, our Facilitator (Atalan) Guidelines, and other role-specific rules (together, the "Agreement").
1.2 Scope of Services
Aseel operates a global three-sided digital marketplace designed to facilitate:
- The sale of physical goods by Vendors (Sellers) to Buyers (Customers);
- The coordination and distribution of charitable aid through campaigns initiated by Campaign Creators and fulfilled by Facilitators (Heroes/Atalan);
- The delivery of goods and aid to Beneficiaries on the ground.
Aseel provides tools, logistics coordination, and infrastructure but does not directly sell goods or manage aid campaigns unless explicitly stated.
1.3 Accepting These Terms
You accept these Terms by accessing, browsing, or using any part of the Platform. You must be at least 18 years old (or the age of majority in your country) and capable of forming a binding contract to use Aseel’s services. If you are using Aseel on behalf of an organization, you represent that you are authorized to bind that entity to these Terms.
1.4 Who These Terms Apply To
These Terms apply to all users of the Platform, including:
- Vendors
- Buyers
- Facilitators (Atalan/Heroes)
- Beneficiaries
- Campaign Creators
- Partners, funders, or any third party using Aseel in any operational or support role.
1.5 Arbitration Agreement Summary
By agreeing to these Terms, you agree that most disputes with Aseel will be resolved through binding arbitration, not in court, and you waive your right to participate in class actions or jury trials. You may opt out within 30 days by emailing [email protected]. See Section 11 for details.
2. Account Creation, Eligibility, and User Responsibilities
2.1 Account Registration
To access most features of the Platform, you must register for an account. You agree to provide accurate, current, and complete information during registration and to update such information as necessary.
2.2 Eligibility
You must be at least 18 years old or the age of majority in your jurisdiction and legally capable of entering into a binding agreement. If you use the Platform on behalf of a business or organization, you represent that you are authorized to bind that entity.
2.3 User Roles and Verification
Users may act in one or more roles: Vendor, Buyer, Facilitator (Hero/Atalan), Campaign Creator, or Beneficiary. Some roles may require identity verification, background checks, or compliance documentation. Aseel may restrict access or suspend accounts if such verification is not completed or fails.
2.4 Account Security
You are responsible for safeguarding your account login credentials. Do not share your password or allow unauthorized access. You must notify Aseel immediately of any suspected unauthorized use of your account.
2.5 Communication Preferences
By creating an account, you consent to receive communications from Aseel via email, in-app messages, and SMS (if applicable). These may include transactional, promotional, and service-related messages. You can opt out of marketing messages at any time in your account settings.
3. User Conduct, Platform Rules, and Content Standards
3.1 Acceptable Use
You agree not to:
- Violate any laws or regulations;
- Engage in fraud, misrepresentation, or deception;
- Harass, threaten, or abuse other users;
- Post hateful, discriminatory, or sexually explicit content;
- Circumvent fees or mislead other users.
3.2 Marketplace Integrity
You must not:
- Create multiple accounts to manipulate services or campaigns;
- Solicit users off-platform to avoid Aseel fees;
- Interfere with other users’ listings, campaigns, or profiles;
- Post or share false, misleading, or defamatory content.
3.3 Platform Enforcement and Holds
Aseel may restrict accounts, remove content, or withhold funds if there is suspicion or evidence of:
- Fraudulent or abusive behavior;
- Chargebacks or unauthorized payment activity;
- Campaign or delivery non-compliance;
- Regulatory or legal concern.
4. Product Listings, Campaign Operations & Aid Distribution
4.1 Listings and Campaign Accuracy
Vendors and Campaign Creators must provide accurate descriptions of goods, services, or campaign goals. Misrepresentation is grounds for removal.
4.2 Facilitator Obligations
Facilitators (Heroes/Atalan) must follow logistics, delivery, and conduct protocols as outlined by Aseel. Non-compliance or unprofessional conduct may result in suspension.
4.3 Beneficiaries and Impact Verification
Beneficiaries may be contacted by Aseel for verification of delivery or receipt of support. Misuse of the Platform or falsification will result in termination of access.
4.4 EU Consumer Withdrawal Rights
EU-based Buyers have a right to withdraw from a purchase of goods within 14 days of receipt, except for non-returnable goods or made-to-order items, as permitted by law.
5. Payments, Fees, and Taxes
5.1 Third-Party Processors
All payments are processed by third-party providers (e.g., Stripe). Aseel does not store full payment details. Use of these processors is governed by their terms and privacy policies.
5.2 Pricing and Transparency
Pricing is listed clearly on the Platform or at aseelapp.com/pricing. Aseel reserves the right to change fees at any time with notice.
5.3 Taxes and Duties
You are responsible for determining and paying all applicable taxes, including VAT, customs, or import duties. Vendors must comply with local tax laws and disclose taxes where applicable.
5.4 Refunds and Disputes
All refund policies are governed by role-specific policies. Aseel may assist in resolving payment disputes, but final responsibility lies with Vendors or Campaign Creators.
5.5 Currency Conversion
Currency conversion is managed by payment processors and may involve fees or rate differences beyond Aseel’s control.
5.6 Fraud Prevention and Holds
Aseel may delay or withhold disbursements if we detect suspicious activity, unverified campaigns, chargebacks, or unresolved complaints.
6. User Content, Intellectual Property & Licensing
6.1 Ownership and Rights
You retain ownership of content you upload but grant Aseel a worldwide, royalty-free, sublicensable license to use, display, and distribute your content in connection with the Platform.
6.2 IP Infringement and DMCA
If you believe your rights are violated, submit a notice to [email protected]. We will respond per the Digital Millennium Copyright Act (DMCA).
6.3 Counter-Notice
If your content is removed and you believe it was a mistake, you may submit a counter-notice within 14 days. If the complainant does not respond, content may be reinstated.
7. Data Privacy, Security, and User Rights
7.1 Privacy Policy
Use of the Platform is governed by our Privacy Policy, which explains what data we collect and how it is used.
7.2 Limitation of Liability
Aseel is not liable for any damages arising from your use of the Platform.
7.2 GDPR and CCPA
If you are a resident of the EU or California, you have specific rights under GDPR and CCPA, including access, deletion, and correction of your personal data.
7.3 Post-Termination Data Retention
Upon account closure, we may retain certain data as needed to comply with laws, prevent fraud, or resolve disputes. This retention will not exceed legally required periods.
8. Account Suspension, Termination, and Appeals
8.1 Voluntary Termination
You may close your account at any time via your settings or by contacting [email protected]. Some data may remain archived.
8.2 Suspension by Aseel
We may suspend or terminate your account for violations, fraud, failure to comply with policies, or legal risk. You will be notified unless prohibited by law.
8.3 Appeals
If your account is suspended, you may submit an appeal to [email protected] with a written explanation.
9. Disclaimers and Limitation of Liability
9.1 No Warranties
The Platform is provided “as is” and “as available” without warranties of any kind. We do not guarantee uninterrupted or error-free service.
9.2 Risk Assumption
You use the Platform at your own risk. Aseel does not guarantee outcomes from campaigns, sales, or deliveries.
9.3 Limitation of Liability
To the maximum extent permitted by law, Aseel’s total liability shall not exceed the greater of $50 or the total amount paid by you in the last 6 months.
10. Governing Law, Jurisdiction, and Geographic Restrictions
10.1 Governing Law
These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict of laws.
10.2 Jurisdiction
Non-arbitrable claims will be resolved in the courts of Delaware, USA.
10.3 Export and Sanctions
You agree to comply with U.S. export laws and not use the Platform in sanctioned regions or for unlawful purposes.
10.4 Local Restrictions
Aseel may restrict service in certain jurisdictions where legal, safety, or regulatory barriers exist.
10.5 Regional Dispute Handling
EU users may have access to the EU’s Online Dispute Resolution platform in addition to arbitration rights.
11. Dispute Resolution and Arbitration
11.1 Arbitration Agreement
Except as stated in Section 11.4, all disputes shall be resolved via binding arbitration conducted under AAA rules.
11.2 Waiver of Jury Trial and Class Action
You waive the right to a trial by jury and participation in class actions.
11.3 Process
Arbitration shall occur in Delaware, USA or remotely, with both parties responsible for their own legal costs.
11.4 Exceptions
This arbitration agreement does not apply to:
- IP infringement claims
- Small claims court
- Government enforcement actions
- Public injunctive relief where non-waivable
These disputes may proceed in Delaware courts.
11.5 Opt-Out
You may opt out of arbitration by notifying [email protected] within 30 days of agreeing to these Terms.
11.6 KYC and Sanctions Screening
Facilitators and Campaign Creators are subject to identity verification and global sanctions screening.
12. Miscellaneous Provisions
12.1 Entire Agreement
These Terms, along with our Privacy Policy and additional rules, form the entire agreement between you and Aseel.
12.2 No Waiver
Failure to enforce a right or term is not a waiver.
12.3 Severability
If a provision is found invalid, the rest remain in effect.
12.4 Assignment
You may not assign these Terms without Aseel’s written consent. Aseel may assign without restriction.
12.5 No Agency
No agency, partnership, or employment relationship is created by these Terms.
12.6 Survival
Provisions that by their nature should survive termination do so, including indemnity, IP rights, and arbitration.
